ITEM 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 18, 2023, Mostafa Ronaghi, Ph.D. informed Seer, Inc. (the “Company”) of his resignation as a member of the Company’s Board of Directors (the “Board”) and all committees thereof, effective immediately. In connection with Dr. Ronaghi’s resignation from the Board, the size of the Board was decreased from nine to eight members.

ITEM 8.01Other Events.
The Company released the following statements regarding Dr. Ronaghi’s resignation:

We want to thank him for his dedicated service and unwavering commitment to our shared vision,” said Omid Farokhzad, M.D., Chief Executive Officer, President, and Chair of the Board.

The dedication to excellence that pervades this organization has undoubtedly been instrumental to its success, and I want to thank Omid, the Board, and the management team,” said Dr. Ronaghi.
