Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
    
On January 18, 2022, Meeta Gulyani was appointed to fill a vacancy on the Audit Committee (the “Audit Committee”) of the Board of Directors (the “Board”) of Seer, Inc. (the “Company”) in connection with the resignation of Mr. Dipchand (Deep) Nishar from the Audit Committee. Mr. Nishar is not resigning from the Audit Committee as a result of any disagreement with the Company. The Board, including the Corporate Governance and Nominating Committee of the Board, determined that Ms. Gulyani qualifies as independent under the director independence standards set forth in the rules and regulations of the Securities and Exchange Commission (the “SEC”) and the applicable listing standards of the Nasdaq Stock Market (the “Nasdaq”), and also satisfies the additional requirements of financial literacy and audit committee independence for audit committee service under the applicable rules and regulations of the SEC and the listing standards of Nasdaq.
